These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and PMP IntelliPrep ("we", "us", or "our") governing your access to and use of the PMP IntelliPrep application, website at https://pmpintelliprep.com, and all associated services (collectively, the "Service").

By creating an account, clicking "I Agree," initiating a free trial, making a purchase, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your continued use of the Service after any modification to these Terms constitutes acceptance of the revised Terms.

These Terms apply to all users of the Service, including visitors, registered users, and subscribers.

PMP IntelliPrep is an AI-powered educational platform designed to assist individuals preparing for the Project Management Professional (PMP)® certification examination administered by the Project Management Institute (PMI)®. The Service includes, but is not limited to:

• AI-generated and curated practice questions and mock examinations
• Interactive AI tutoring sessions ("PM Rocket" assistant)
• Spaced-repetition flashcard systems
• Study progress tracking, analytics, and gamification features
• Educational content aligned with the PMBOK® Guide and PMI® Examination Content Outline
• Text-to-speech and voice interaction capabilities

Important Disclaimer: PMP IntelliPrep is an independent study aid and is NOT affiliated with, endorsed by, sponsored by, or otherwise associated with PMI®, the PMP® certification body, or any official certification authority. "PMP®" and "PMBOK®" are registered trademarks of the Project Management Institute, Inc.

To use the Service, you must:

• Be at least 13 years of age. Users under 18 must have parental or guardian consent.
• Have the legal capacity to enter into a binding contract in your jurisdiction.
• Not be prohibited from using the Service under applicable law, including without limitation, laws of the United States, Australia, the European Union, or the United Kingdom.
• Not be a person or entity that has been previously banned or suspended from the Service.

We do not knowingly collect personal data from children under 13. If we become aware that a child under 13 has provided us with personal data, we will take steps to delete such information promptly.

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the confidentiality of your login credentials and be solely responsible for all activity that occurs under your account.
• Notify us immediately at legal@pmpintelliprep.com of any unauthorised use of your account or any other breach of security.
• Not share your account credentials with any third party or permit others to access the Service through your account.

We reserve the right to suspend or terminate any account if we reasonably believe that any information provided is inaccurate, false, or violates these Terms.

PMP IntelliPrep offers both free-tier access and paid subscription plans ("Pro"). By subscribing to a paid plan, you agree to the following:

• Billing: Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are in US Dollars (USD) unless otherwise stated.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled by you before the renewal date.
• Payment Processor: Payments are processed by Stripe, Inc. By providing payment information, you authorise us to charge the applicable fees to your payment method. Stripe's terms apply: stripe.com/legal.
• Price Changes: We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' notice of any price increase. Your continued use after such notice constitutes acceptance of the new pricing.
• Taxes: All fees are exclusive of applicable taxes. You are responsible for all applicable taxes, including GST, VAT, or sales tax, in your jurisdiction.

We may offer a free trial period for the Pro subscription. The following conditions apply:

• Free trials are available to new subscribers only. One free trial per person.
• A valid payment method is required to commence the free trial.
• You will not be charged during the free trial period. However, at the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
• We reserve the right to modify or terminate free trial offers at any time without notice.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at legal@pmpintelliprep.com. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until that date.

Refund Policy: Due to the digital nature of the Service and immediate access upon subscription, all sales are generally final. However, we will issue a full refund if:

• You request a refund within 7 days of your initial subscription charge and have not substantially used the Pro features during that period.
• A technical error on our part resulted in a duplicate charge.
• Required by applicable consumer protection laws in your jurisdiction (including Australian Consumer Law, EU Consumer Rights Directive, or applicable US state laws).

Apple App Store / Google Play / Microsoft Store: If you subscribed through a third-party app store, refund requests must be directed to that store in accordance with their refund policies. We have no control over and cannot process refunds for purchases made through third-party platforms.

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, audio clips, AI-generated content, software, and the compilation thereof — are the exclusive property of PMP IntelliPrep or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Licence to Users: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial educational purposes only.

You may not: (a) reproduce, distribute, modify, create derivative works of, or publicly display any content from the Service without our prior written consent; (b) reverse engineer, decompile, or disassemble any software component of the Service; (c) use any automated tool (bot, scraper, crawler) to access or extract data from the Service; or (d) use our trademarks or trade dress without express written permission.

User Content: You retain ownership of any content you submit to the Service (e.g., notes, uploaded files). By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, and display such content solely to provide and improve the Service.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Impersonate any person or entity or falsely represent your affiliation with a person or entity.
• Interfere with or disrupt the integrity or performance of the Service or its servers and networks.
• Attempt to gain unauthorised access to any portion or feature of the Service.
• Share exam questions or content in a manner that violates PMI®'s exam confidentiality policies.
• Use the Service for commercial purposes, including reselling access or content, without our prior written consent.
• Circumvent, disable, or otherwise interfere with security-related features of the Service.

Violation of this section may result in immediate termination of your account and, where appropriate, referral to law enforcement authorities.

The Service uses artificial intelligence technologies, including large language models (LLMs), to generate educational content, practice questions, explanations, and tutor responses. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or outdated information and should not be relied upon as definitive exam preparation advice.
• We do not guarantee that AI-generated content perfectly reflects the current PMI® examination content outline, PMBOK® Guide, or any other official resource.
• Conversations with the AI tutor are processed by third-party AI providers (including OpenAI). Please refer to our Privacy Policy for details on data handling.
• You should independently verify any practice question answers or educational content against official PMI® materials before relying on them for exam preparation.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) the results obtained from using the Service will be accurate or reliable; (c) the quality of any products, services, information, or other material obtained through the Service will meet your expectations; or (d) use of the Service will result in passing the PMP® examination.

Some jurisdictions (including Australian states and territories under the Australian Consumer Law, and EU member states) do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PMP INTELLIPREP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, SERVICE INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $50.

Nothing in these Terms limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) liability that cannot be excluded under applicable consumer protection law, including Australia's Competition and Consumer Act 2010.

You agree to defend, indemnify, and hold harmless PMP IntelliPrep and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any content you submit to the Service.

The Service integrates with and relies on third-party services and providers, including:

• OpenAI — AI language model services (subject to OpenAI Usage Policies)
• Stripe — Payment processing
• ElevenLabs — Text-to-speech services
• Google Play / Apple App Store / Microsoft Store — App distribution platforms

We are not responsible for the availability, accuracy, or practices of any third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies. Links to third-party websites are provided for convenience only and do not constitute an endorsement.

By You: You may terminate your account at any time by contacting us at legal@pmpintelliprep.com or through your account settings.

By Us: We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. We may also discontinue the Service at any time.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. Sections 8, 11, 12, 13, and 16 of these Terms shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. Nothing in this clause affects your rights as a consumer under mandatory consumer protection laws in your country of residence.

For users in the European Union, the mandatory consumer protection laws of your country of residence apply. For users in the United States, applicable state and federal laws apply. For users in the United Kingdom, English law applies to the extent required by applicable legislation.

Informal Resolution: Before initiating any formal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@pmpintelliprep.com. We will attempt to resolve the dispute within 30 days.

Arbitration (US Users): For users in the United States, if informal resolution fails, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in court for infringement of intellectual property rights.

Class Action Waiver: To the extent permitted by law, you waive your right to participate in a class action lawsuit or class-wide arbitration.

EU Users: If you are an EU consumer, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) posting the updated Terms on this page with a revised "Last Updated" date; (b) sending an email notification to your registered email address; and/or (c) displaying a prominent in-app notice.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service and cancel any active subscription.
